Lesson 6 of 8 · 12 min

A deal from start to finish in Cyprus

Walk a sale through every step, from reservation and sales contract to the deposit at the Department of Lands and Surveys, VAT at 19% or 5%, transfer fees with the 2026 bands and the resale reduction, and the transfer of the title deed.

A Cypriot sale passes through several hands: you, the buyer’s lawyer, often a bank, the Tax Department and the Department of Lands and Surveys (DLS), the land registry. Your value is knowing the order, keeping everyone on time and making sure nobody is surprised by VAT or transfer fees. This lesson follows a resale, then works through two deals in euros.

Who does what

  • You, the agent or assistant: agency agreement, marketing, viewings, offer, client identification, coordination.
  • The buyer’s lawyer: checks the title and permits, drafts or reviews the sales contract, deposits it at the DLS.
  • The bank: values the property and approves the loan.
  • The Tax Department: VAT, the 5% reduced rate application, and the seller’s tax clearance.
  • The DLS: holds the deposited contract, then registers the transfer and collects the transfer fee.

A resale, step by step

  1. Agency agreement. Written, with your fee and VAT (lesson 4).
  2. Offer and reservation. Many sellers take a reservation deposit to stop viewings. We found no special legal rule for it. Danos & Associates (June 2026) advise checking who holds the money, whether it is refundable, how long the reservation lasts and what happens if the lawyer’s checks fail.
  3. Identification. Identify both parties and any beneficial owner before money moves (lesson 4).
  4. Checks. The lawyer orders a DLS search certificate, checks mortgages, memos, prohibitions, access, planning and building permits and the certificate of approval.
  5. Sales contract. It sets the price, payment stages, possession, encumbrances, warranties, default and the transfer date.
  6. Deposit at the DLS. See below.
  7. Mortgage approval. The bank approves the loan before completion.
  8. Permit for a non-EU buyer. The DLS asks for a permit under Cap. 109 when the buyer is a foreign person. Danos & Associates say it is usually applied for after the contract is signed.
  9. Transfer at the DLS. Both sides file the documents, the buyer pays the transfer fee, the title moves.
  10. Your fee. Under article 20 it is due when the sale agreement is concluded, unless you agreed otherwise.

Stamp duty is gone

Until 2025, a sales contract paid stamp duty before it could be deposited. EY reports that the stamp duty law was abolished from 1 January 2026, as part of the tax reform enacted on 31 December 2025. A contract signed in 2026 pays none. Some older DLS leaflets still mention stamping, and documents signed before 2026 may still fall under the old rules.

Deposit the contract at the DLS

This is the step that protects the buyer most. Under the Sale of Immovable Property (Specific Performance) Law 81(I)/2011, the signed contract should be deposited at the district lands office within six months of signature. The DLS says to do it immediately. Once deposited:

  • No other sales contract for the same property can be deposited.
  • The contract creates a charge on the property, ranked by the date of deposit.
  • If the seller does not perform, the buyer can ask a court to order the transfer (specific performance) or compensation.
  • If there is an older mortgage, the buyer can pay their share of the debt straight to the lender, and go to court if the lender refuses to release the property.

If the deadline is missed, Kleanthous & Platis (August 2026) explain that the contract stays valid between the parties, but the buyer loses the protection against third parties and specific performance becomes discretionary. A court may allow a late deposit. The DLS adds that the transfer fees rise by 10% if the contract was not deposited within six months.

VAT or transfer fees

A property deal pays either VAT or transfer fees, not both in full.

New builds pay VAT. The standard rate is 19%. The 5% rate applies to a buyer’s main home under the 2023 rules: 5% on the first 130 sqm if their value is up to €350,000, for homes up to 190 sqm and deals up to €475,000 (lesson 5). GK Law Firm notes that the buyer files the application online through Tax For All, after signing and before taking possession.

Transfer fees (DLS, PwC, August 2026):

ValueRate
Up to €85,0003%
€85,001 to €170,0005%
Above €170,0008%
  • No transfer fee when VAT was charged on the same sale (the DLS asks for a VAT Department certificate).
  • 50% reduction when the purchase is not subject to VAT, which covers most resales.
  • The fee is charged on the price or the market value, if the DLS Director finds the declared price too low.

The seller may owe capital gains tax of 20%. From 1 January 2026 the lifetime exemptions rose to €150,000 for a main residence (conditions apply) and €30,000 for other disposals (PwC). The seller needs a tax clearance (form N313) before the transfer.

Worked example 1: a resale flat in Larnaca

A buyer pays €250,000 for a resale flat, no VAT, with a mortgage, as their main home. Your agency agreement says 3% plus VAT, paid by the seller.

ItemCalculationAmount
Transfer fee before reduction85,000 x 3% + 85,000 x 5% + 80,000 x 8%€13,200
Transfer fee after 50% reduction13,200 x 50%€6,600
Stamp dutyAbolished in 2026€0
Own funds at 80% loan to value250,000 x 20%€50,000
Agency fee, paid by seller250,000 x 3%€7,500
VAT on the fee7,500 x 19%€1,425
Your agency’s payment to the Council250,000 x 2/10,000€50

How the fee adds up: €2,550 on the first €85,000, €4,250 on the next €85,000, and €6,400 on the last €80,000.

The 80% figure comes from the Central Bank of Cyprus limit for a primary residence (70% for other property), as notified in 2021. Check the bank’s current offer, and add its own fees and the 1% mortgage registration fee listed by PwC.

Worked example 2: a new flat in Limassol

A buyer pays €300,000 for a new 110 sqm flat from a developer, as their main home. GK Law Firm uses the same example.

Item5% rate (main home)19% rate
VAT€15,000€57,000
Transfer fee€0 (VAT charged)€0 (VAT charged)

That €42,000 difference is why you ask about the buyer’s plans on day one. If the buyer sells or lets the flat within 10 years, they must tell the Tax Department within 30 days and pay back the difference for the remaining years.

Title deeds and transfer

If a separate title deed exists, the transfer can happen soon after the checks. The parties file at the district lands office: the declaration of transfer (form N270), the seller’s tax clearance N313, the municipal, sewerage and water certificates, copies of IDs, and the mortgagee’s consent if the property is mortgaged. The DLS then gives an appointment.

If the title does not exist yet, which is common for new and off-plan homes, the deposited contract is the buyer’s protection until the developer gets the building’s certificate of approval and the separate titles. Interior Ministry figures from 2024 show 21,495 “trapped buyer” applications under a 2015 law, with titles transferred in 11,158 cases. Ask every developer whether the land is mortgaged and when titles are expected.

Off-plan and new builds

For an off-plan purchase, the contract sets the stage payments. Make sure the buyer’s lawyer:

  • Deposits the contract at the DLS at once.
  • Checks the planning and building permits.
  • Confirms the developer has filed the unit’s value ratio with the DLS, which sets the buyer’s share of any mortgage on the land.
  • Files the 5% VAT application in time, if the buyer qualifies.
